BONN & SCHMITT advised SUSE on its IPO and listing on the Frankfurt Stock Exchange

Bonn & Schmitt has acted as Luxembourg counsel to SUSE S.A., the EQT-backed IT company, in relation to its initial public offering and listing on the regulated market of the Frankfurt Stock Exchange.


SUSE S.A. and its subsidiaries are a global independent leader in enterprise-grade open source software solutions.


With the offering of 37.3 million shares, SUSE S.A. managed to raise over 1 billion euros, allowing it to reach a total market capitalisation of over 5 billion euros on the first trading date on 19 May 2021.


Bonn & Schmitt advised on all Luxembourg regulatory and capital markets aspects in respect of SUSE's IPO and listing. It handled the dematerialisation process of SUSE's shares as well as the approval process of the prospectus with the Luxembourg financial supervisory authority (CSSF). The firm's corporate team further played a key role in advising on, and implementing, the corporate steps required at the level of the Luxembourg issuer in view of its IPO.


Bonn & Schmitt regularly assists EQT on the structuring of their Luxembourg acquisition vehicles.
